1. Acceptance of Terms

By accessing or using the ZYNIQ LABS platform, infrastructure, application programming interfaces (APIs), or autonomous systems (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Zyniq Studios LLP operating as ZYNIQ LABS ("Company," "we," "us," or "our").

If you do not agree to all the terms and conditions set forth herein, you must immediately cease all access and use of the Services. The Services are offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies, and procedures that may be published from time to time on this platform.

2. Autonomous Systems and Algorithmic Operations

You acknowledge and agree that ZYNIQ LABS utilizes advanced artificial intelligence, machine learning models, and autonomous operational software for operational intelligence infrastructure.

The output generated by the ZYNIQ LABS system is produced autonomously without direct human intervention in every instance. While we employ rigorous safety mechanisms and continuous monitoring, you understand that autonomous systems may occasionally produce unexpected, inaccurate, or unintended outcomes.

ZYNIQ LABS explicitly disclaims any liability for operational disruption, data anomalies, or consequential damages resulting from the execution of autonomous systems. It is your responsibility to verify and validate all system outputs before applying them to critical infrastructure.

3. Account Registration and Access Control

To access certain features of the Services, you may be required to register an account. You must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

Access to the ZYNIQ LABS command tier is strictly regulated. You are solely responsible for safeguarding the passwords, private keys, and multi-factor authentication tokens you use to access the Services. You agree not to disclose your credentials to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property Rights

The Services and their original content, features, functionalities, system architectures, algorithms, databases, and structural designs are and will remain the exclusive property of Zyniq Studios LLP (operating as ZYNIQ LABS) and its licensors.

The Services are protected by copyright, trademark, and other intellectual property laws of both domestic and foreign jurisdictions. Our trademarks, trade dress, and system iconography may not be used in connection with any product or service without the prior written consent of ZYNIQ LABS.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Interference: Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.
  • Bypass: Circumventing or attempting to circumvent any access controls, cryptographic verification boundaries, or security mechanisms.
  • Scraping: Using automated systems, including spiders, robots, or offline readers, to access the Services in a manner that sends more request messages to the servers than a human can reasonably produce in the same period.
  • Malicious Code: Uploading invalid data, viruses, worms, or other software agents through the Services.

6. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZYNIQ LABS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; or that the results of using the Services will meet your requirements.

7. Limitation of Liability

IN NO EVENT SHALL ZYNIQ LABS, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
